Founding Partner Agreement — Summary 1. What this partnership involves. You (the "Partner") are joining Elpis as a healthcare provider partner. Patients who scan your QR code or otherwise reach you through Elpis may contact you directly; some of those contacts are billable leads under Elpis's pricing tiers, and Elpis may separately offer your patients a paid "Ask Doctor" follow-up feature that pays out a share of the fee to you. 2. Billing is not active yet. Elpis's company bank account and payment collection are still being set up. During this period, wallet top-ups and lead billing are disabled — you will not be charged anything, and no lead fees will be deducted from your wallet, until Elpis explicitly turns billing on. 3. Founding Partner status. Because you signed up before billing was active, you are recognized as a Founding Partner. This status is permanent for your account, and comes with a locked-in discounted monthly platform fee (shown in your dashboard) that will be honored for as long as your account remains active, even after standard pricing changes for partners who join later. 4. When billing goes live. Once Elpis turns billing on, your wallet becomes usable (top-ups and lead billing resume normally) and your Founding Partner rate applies automatically — no action is required from you, though Elpis will separately notify you when this happens. 5. Data handling. Elpis stores your clinic/lab details (name, type, city, contact information) and transaction records associated with your account. Patient health data you may see through Elpis (e.g. in the Ask Doctor feature) is shown to you only in the context of a question that patient directed to you, and you agree to handle it consistent with applicable healthcare privacy obligations in your jurisdiction. 6. Not final legal terms. This summary is provided for early pilot partners and has NOT been reviewed by a lawyer. It is not a substitute for a formal partner agreement, which Elpis will provide before any real payment collection begins.
